Statutes of ICEM-CIME approved by the General Assembly in Oslo on October 9, 2003, amended by the Extraordinary General Assembly in Frankfurt/M (Germany) on 3 April 2004, accepted by the Court of Registration in Munich on 23 April 2004 under VR 18430

Article 1: Name, Constitution, Location, Duration, Definitions
1.1. The Association is given the name “International Council for Educational Media e.V.”. The name of the Association can be abbreviated with ICEM. ICEM is an association which has been constituted in accordance with the present statutes and is to be registered and is to be entered into the registry of societies kept by the city court (“Amtsgericht München”) in Munich, Germany.
1.1.1. Its legal seat is in Munich (Germany).
1.1.2. The Association is a non-profit organization according to German laws (§ 21 BGB). The nature of the Association is altruistic; it does not have primarily commercial interests.
1.1.3 The fiscal year is the calendar year.
1.2 Media includes film, analogue and digital video and audio, photographic and digital images, text and graphics and all forms of computer-supported multimedia, regardless if for mere storage – independent of the carrier system – or for broadcasting or other forms of transmissions.
1.3 Educational Media includes all forms of media and communication channels (e.g. Radio, television, Internet and Web-based communication) employed in teaching and learning.
1.4 National Representative is the person nominated by the Ministry of Education, other Government department or professional organisation that has paid the national affiliation fee.
1.5 National Coordinator is the person designated by the organisation recognised by the ICEM Executive as being the ICEM branch in that country. Alternatively, the Coordinator may be elected by all members of ICEM branches in that country.
1.6 Regional Representative is the person designated by the ICEM Executive as representing a region where there is no National Representative.
1.7 Members are individuals or organisations (governmental or commercial) that have made application and been accepted into ICEM and are in satisfactory financial standing. Members may participate at all levels of ICEM
The aim of the International Council for Educational Media is to promote education, culture, science and research in the area of educational media. This aim is pursued especially by the following objectives:
2.1. To provide a channel for the international exchange and evaluation of information, experience and materials in the field of educational media as they apply to preschool, primary, secondary and university education, to technical and vocational, industrial and commercial training, teacher training, continuing and distance education.
2.2. To foster international liaison among individuals and organisations with professional responsibility in the field of educational media.
2.3. To inform hardware manufacturers and software producers on the needs of education in member countries.
2.4. To provide information services and consultancy to member countries, and others where appropriate, in connection with developments in educational media.
2.5. To cooperate in the development and application of educational technology with other international organisations involved in research, production, distribution and use in this field.
2.6. To play a leading role in identifying and exploring ongoing and future issues with respect to the role and potential of media in education.
Article 3: Rules of Financial Conduct
3.1. The association exclusively serves purposes of benefit to the public according to German laws (see the paragraph „steuerbegünstigte Zwecke“ of the ‚Abgabenordnung‘).
3.2. The funds of the Society should only be used for the above-stated aims. Members of the Society do neither receive revenues nor other payments from these funds. No person should benefit from payments which contradict the aims of the Society or from disproportionately high compensations.
3.3. The activities of the Association are entirely unsalaried. For administrative activities of the Executive Committee, an adequate financial compensation is possible.
3.4. In case of dissolution of the Association, or if the aims of the Society are no longer directed towards common benefits ("steuerbegünstigte Zwecke"), the assets of the Association will be transferred to a legal entity of public law or another non-profit organization ("steuerbegünstigte Körperschaft") and will be used to promote education, culture, science and research in the field of educational media.
Article 4: Membership and representation
4.1 Membership
4.1.1 Membership is open to public, para-public and private institutions and organisations, to educational institutions, to commercial media production and distribution companies and to individuals professionally involved in media in education.
4.1.2 Requests for membership in all categories are directed to the General Secretary. An application form can be found on the ICEM website.
4.1.3 Members wishing to leave the Association inform the Executive Committee. Membership ends with the calendar year in which the member has submitted his withdrawal.
4.1.4 Membership will terminate if a member has not promoted the aims of the Association or paid his fees for more than two years
4.1.5 There are various categories of Members:
4.1.5.1 individuals
4.1.5.2 Students (full-time enrolled in recognized educational institutions) and members who have retired from their job.
4.1.5.3 Governmental and non-profit organisations and institutions, universities and other institutions of post-secondary education.
4.1.5.4 Commercial organisations, including manufacturers, producers and distributors of media, and Internet service providers.
4.1.5.5 Honorary members
4.1.6. Membership fees
4.1.6.1 Members have to pay membership fees, the level of which is determined by the General Assembly (see 6.10.6.) depending on the category according to 4.1.5.
4.1.6.2 If a National or Regional organisation exists, Members pay their fees to the National or Regional Representative or Coordinator; otherwise fees are paid directly to the ICEM Treasurer.
4.1.7. Entitlements
4.1.7.1 Members support the aims of the Association and are ready to make available to others relevant information on its activities and objectives.
4.1.7.2 Members may participate4.1.7.3 Members receive the ICEM Journal, Educational Media International and selected newsletters, papers and documents. Members also have access to information posted on the ICEM Web site and may contribute to professional discussion lists.

- in the International Conference
- in the International Media Week
- and in working groups as appropriate.
4.2 National Representatives and Coordinators
4.2.1 In any country, a member institution or organisation can apply to become the National Representative to ICEM. In any country where there is no National Representative, a member institution or organisation can apply to become the National Coordinator of the ICEM branch.
4.2.1.1. The National Representative, while often designated by the Ministry of Education or other government department that pays the annual membership fee, may also be designated by the appropriate other professional organisation within their country.
4.2.1.2. The National Coordinator is normally elected by a majority of the Members of the ICEM branch(es) in the country.
4.2.1.3. Both National Representatives and National Coordinators should be representatives of public, para-public, non-profit or commercial organisations responsible for, or substantially involved in media in education.
4.2.2 Applications from bodies wishing to become National Representatives or Coordinators must be approved by the Executive Committee.
4.2.2.1. Applications from National Coordinators will be approved only if, in the opinion of the Executive Committee, the group of Members which has elected them is sufficiently numerous and sufficiently representative of the field of educational media in the country.
4.2.3. Each National Representative and Coordinator should appoint a delegate for ICEM affairs. A deputy delegate should also be elected or nominated.
4.2.4. National Representatives and Coordinators must provide the Secretariat with the name and designation of their delegate and of their deputy delegate. The Secretariat must be notified of any change in the designation of the delegate and deputy delegate and of the date from which the change is made.
4.2.5. National Representatives and Coordinators shall encourage the development of the national branch of ICEM consisting of the Members in their country. The role of the national branch is to foster communication and interaction among Members and to promote national initiatives.
4.2.6. National Representatives and Coordinators shall:
4.2.6.1. Represent their country (in the case of Coordinators, their national branch) at the General Assembly with the mandate to vote,
4.2.6.2. Ensure that members in their country are kept informed of ICEM meetings and other activities.
4.2.6.3. Pay to ICEM Treasurer the annual fee for the country determined by the General Assembly
4.2.6.4. Collect the fees from Members in their country and forward them to ICEM
4.2.6.5. Coordinate the activities of the ICEM branch and organise meetings as appropriate.
4.2.6.6. Recruit new Members.
4.3. Regional Representatives and Coordinators
4.3.1. In any region comprising several countries where there is no National Representative, a member institution or organisation can apply to become the Regional Representative to ICEM and/or the Regional Coordinator of the ICEM branch.
4.3.2. Regional Representatives and Coordinators shall meet the same criteria, at regional level, as National Representatives and National Coordinators, as defined in Article 4.2 above.
4.3.3. The duties and obligations of Regional Representatives and Coordinators are the same, at regional level, as those of National Representatives and Coordinators as defined in Article 4.2.
4.4. Termination of the status of National or Regional Representative or Coordinator
4.4.1. National and Regional Representatives and Coordinators may resign by giving three months' notice to the General Secretariat.
4.4.2 National or Regional Representatives or Coordinators who no longer fulfill the qualifications defined in Article 4.2 above, or who fail to observe their obligations towards ICEM, or who act in a manner contrary or prejudicial to ICEM's interest, may be excluded by a majority vote of at least three quarters of the official (voting) delegates present at a General Assembly.
4.4.3 National or Regional Coordinators who, in the opinion of the Executive Committee, no longer fulfill the qualifications defined in Article 4.2 above, or who fail to observe their obligations towards ICEM, or who act in a manner contrary or prejudicial to ICEM's interest, may be suspended by the Executive Committee pending their possible exclusion by the next General Assembly. Written notification of such a decision must be immediately sent by the General Secretariat to the Coordinator and the Members of the national or regional branch.
4.4.4 National and Regional Coordinators can be removed if a simple majority of the Members of the ICEM branch votes in favour of such removal. Written notification of such a vote must be immediately sent to the General Secretariat.
4.4.5 The resignation, removal, suspension or exclusion of a National or Regional Representative or Coordinator in no way affects the obligation of the country or region to pay its fee for the current year.
4.5. Honorary membership
4.5.1. Honorary membership is the highest distinction that the Council can bestow.
4.5.2. National and Regional Representatives and Coordinators and other persons who have distinguished themselves by meritorious service in the furtherance of the activities of the Council may, on nomination by the Executive Committee, be elected as Honorary Members by the General Assembly.
4.5.3. Honorary Members receive the same publications and documents as Members and are entitled to attend the General Assemblies without the right to vote.

Article 6: The General Assembly
6.1. General Assemblies must take place at least once a year.
6.2. Invitations to General Assemblies and calls for papers for the Annual Conference are posted on the ICEM Web site at least six months prior to the Annual Conference
6.3 A draft agenda is posted on the Web site four weeks ahead of the General Assembly. Based on responses to the draft agenda, the final agenda will be prepared and distributed at the General Assembly. At the General Assembly, members may add items to be discussed under New Business. Decisions on items as listed in 6.10. can only be obtained if they have been listed in the draft agenda and the suggested decision attached in full wording together with the invitation.
6.4. General Assemblies are open to the delegates and deputy delegates of all National and Regional Representatives and Coordinators, to Members and Honorary Members, to the advisors of National and Regional Representatives and Coordinators, to the Editor-in-Chief of the Journal, and to official observers invited to attend by the Executive Committee.
6.5. Voting rights: Each member in good standing, including delegates and deputy delegates for National or Regional Representatives or Coordinators, is entitled to one vote. Advisor, official observers and honorary members have no voting rights.
6.6 National and Regional Representatives and Coordinators may appoint one alternate to attend a General Assembly if neither the delegate nor the deputy delegate are able to attend. The General Secretariat must be notified in writing prior to the General Assembly of the attendance of alternates.
6.7. The quorum for the General Assembly shall be 50% +1 of all voting members in good standing who attend the meeting
6.8. If the President and the Vice-president are unable to take the chair at a General Assembly, the voting members present elect a Chairperson.
6.9. Except in the cases referred to in articles 4.4.2 and 16.1, decisions at the General Assembly will be taken on a simple majority. The President, Vice-president or Chairperson of the meeting may, in the event of a tied vote, exercise the deciding vote.
6.10. Decisions on the following matters will be made by all members in good standing at the General Assembly:
6.10.1. Election of the President and Executive Committee members other than the General Secretary and the Treasurer.
6.10.2. Acceptance of reports on the activities of ICEM
6.10.3. Approval of the previous year's accounts
6.10.4. Approval of the work plans and the corresponding budgets for the forthcoming year
6.10.5. Approval of the budget for the forthcoming year
6.10.6. Establishment of fees
6.10.7. Amendments to the statutes
6.10.8. Dissolution of ICEM.
6.11. Extraordinary General Assemblies may be convened at a month's notice by either by the president with the support of 2/3 of the Executive Committee, or the written request of at least one third of the members.
6.11.1. Extraordinary General Assemblies may be conducted electronically, e.g. by telephone or over the Internet, for the purpose of voting on a limited number of urgent items between normal (annual) meetings.
6.11.2 An electronic Extraordinary General Assembly may only be convened by the President, following a vote of the Executive Committee.
6.11.3. An electronic Extraordinary General Assembly will be set up and conducted by the Secretariat using the following guidelines:
6.11.3.1 A minimum of three weeks' notice must be given to members and delegates.
6.11.3.2 The duration of the meeting and the voting should take into account the different time zones of delegates.
6.11.3.3 The Secretariat should devise a secure means of recording votes from official delegates.
6.12. On the proposal of the Executive Committee, the President may call for a closed meeting of the voting members of the General Assembly.
6.13. The General Secretariat is responsible for the preparation of a meeting report (minutes) of the General Assembly. The report will document all decisions and will be signed by the General Secretary and the Chairperson. In the absence of the General Secretary, the members present will decide on a Rapporteur who will perform the duties of the General Secretary.
Article 7: The Executive Committee
7.1 The Executive Committee consists of President, Vice-President, General Secretary, Treasurer, Editor-in-Chief and other elected and appointed members
7.2 The President and members of the Executive Committee, with the exception of the General General Secretary ,the Treasurer,and the Editor-in-Chief shall be elected by members at a General Assembly.
7.2.1 The General Secretary, Treasurer and the Editor-in Chief are appointed by the Executive Committee for terms to be determined by the Committee, but not normally exceeding five years, renewable.
7.2.2 The General Secretary, the Treasure and the Editor-in-Chief must all be members of ICEM in good standing.
7.3 All Members of ICEM are eligible for election to the Executive Committee.
7.4. The members of the Executive Committee, with the exception of the General Secretary, the Treasurer and the Editor-in-Chief are elected for a period of two years and are eligible for reelection for a further period of two years.
7.4.1 The 2-year terms of the elected Executive Committee members are overlapping. That is, half of the Committee is elected at each General Assembly.
7.5. No elected members of the Executive Committee are eligible for reelection until one year has elapsed after the end of their maximum period of tenure of four years.
7.6. In the event of a vacancy occurring on the Executive Committee more than three months before the date of the next General Assembly, the Executive Committee shall elect a replacement by electronic ballot from among the candidates proposed by the remaining members of the Committee.
7.7. The newly elected member shall serve only for the remainder of the period of service of the Executive Committee member replaced and will be eligible to be a candidate for election to the Executive Committee for a two year term and be eligible for re-election.
7.8. If the President and the Vice-president are unable to take the chair at a meeting of the Executive Committee, the other Committee members elect a Chairperson for that meeting.
7.9. Each member of the Executive Committee has one vote. The General Secretary ,Treasurer and Editor-in-Chief are non-voting members..
7.10. Decisions of the Executive Committee are taken on a simple majority. In the event of a tied vote the President, Vice President or Chairperson casts the deciding vote.
7.11. The Executive Committee gives to each of its members responsibility for a certain field of ICEM activities.
7.12 Executive Committee meetings must be held at least once per year during the annual Congress Week. If issues arise that need immediate action, additional meetings of the Executive may be held via electronic means, or on-site, as appropriate.
7.12.1 Where electronic formats are employed the secretariat will ensure that:
7.12.1.1 At least two week's prior notice is provided and an agenda circulated to members
7.12.1.2 The time and duration of an electronic meeting takes into account the different time zones of members
7.12.1.3 A secure means of recording votes is employed.
8.1. The President, the Vice-president, the General Secretary , and the Treasurer shall be authorised to act alone as signatories on behalf of the Council. All other members of the Executive Committee have signatory power only together with one of the fore-mentioned persons.
8.2. With respect to internal relations and vis-à-vis the bank, the Treasurer shall have signatory power alone. For transactions above 10.000 Euros, an additional signature of President, Vice-President or General Secretary is necessary.
Article 9: Committees, Working Groups and the Journal
9.1. Committees and working groups can be set up by the Executive Committee for specific projects in response to suggestions from Members or outside organisations.
9.2. Any Member of ICEM can be appointed to coordinate a committee or a working group.
9.3. The mandate and duration of committees and working groups are defined by the Executive Committee. Their size and composition require the approval of the Executive Committee.
9.4. Each committee or working group is allotted a budget by the General Assembly on a proposal from the Executive Committee.
9.5. Committees and groups report through the Executive Committee to the General Assembly.
9.6. The Journal
9.6.1 The official journal of ICEM is Educational Media International (EMI), published four times per year.
9.6.2. EMI is a refereed publication which aims to provide an international forum for scholarship in the field of educational media.
9.6.3. Publication policy for EMI is determined by the Publications Committee and is the responsibility of the Editor-in-Chief.
Article 10: The General Secretariat
10.1. The General Secretary carries out the decisions of the General Assembly and the Executive Committee, prepares the various meetings and maintains contacts with Members and outside organisations.
11.1. The Treasurer carries out the financial implications of the decisions of the General Assembly and the Executive Committee. The Treasurer maintains proper accounts of income and expenditure and administers the finances of the Council.
12.1. The auditors of ICEM are appointed by the General Assembly in accordance with German Law.
13.1. The income of the International Council for Educational Media is derived from various sources including the annual fees paid by Members at rates determined by the General Assembly on proposal of the Executive Committee.
14.1. ICEM's liabilities will only be met from its own assets.
14.2 No Member is personally liable for any liabilities of the Association.
15.1. The Constitution of the Association “International Council for Educational Media e.V.” (ICEM) has been prepared in English and German.
15.2 The German version is the official version.
Article 16: Amendments to the Statutes and Dissolution of the Council
16.1. Amendments to the Statutes and the dissolution of ICEM require a majority of two thirds of the voting members attending the General Assembly. Notice of any proposal to amend the statutes or to dissolve ICEM must be included in the agenda for the General Assembly and sent to all members in good standing in accordance with articles 6.10.7 and 6.10.8
